Terms and Conditions

These Terms govern your use of www.torenajewelry.com and any order you place with Yiwu Mingpai Technology Co., Ltd. (义乌市铭派科技有限公司) ("TORENA", "we", "us"). By using the site or placing an order you accept these Terms.
1. Who We Sell To
TORENA is a wholesale supplier and sells to businesses. To open an account and see wholesale pricing you must be acting for a business and be able to enter into contracts on its behalf. Where mandatory consumer protection law in your country applies to you notwithstanding this, nothing in these Terms limits the rights that law gives you.
2. The Website Is Not a Checkout
Prices and stock shown on the site are an invitation to enquire, not an offer. Submitting an order list does not create a contract and does not reserve stock. A contract comes into existence only when we issue a Proforma Invoice (PI) and you pay it in full.
The PI is the controlling document for your order. If anything in it differs from what the website showed, the PI applies.
3. Accounts
You are responsible for keeping your account credentials confidential and for everything done under your account. Tell us immediately if you believe your account has been used without your authority. We may suspend an account we reasonably believe is being used fraudulently or unlawfully.
4. Prices, Minimum Order and Payment
- Prices are in US Dollars, exclusive of freight and of import duties and taxes in your country unless the PI states DDP.
- The minimum order value is USD 200.
- Prices may change without notice. The price that applies to your order is the price on the PI.
- Obvious pricing or description errors do not bind us. If we spot one after you have ordered, we will tell you and you may confirm at the corrected price or cancel.
- Orders are payable 100% in advance, by Airwallex bank transfer or PayPal against the PI. We ship in-stock goods within 24–72 hours of the payment clearing. See our Payment Policy. We do not accept cards and there is no card checkout on this site.
5. Product Information
We describe our goods as accurately as we can. Please note:
- Photographs are indicative. Screens render colour differently, and plated finishes vary slightly between production batches.
- Dimensions and weights are given to normal manufacturing tolerance.
- Where we state a test result — for example nickel release to EN 1811, or salt-spray hours — that result relates to the tested batch. Reports are available on request.
- We do not represent that any product is suitable for a particular end use or end customer. Assessing suitability for your market, including any local labelling and compliance requirements, is your responsibility.
6. Quality Grades and Warranty
Each style is assigned a grade, which sets the warranty period against plating failure under normal use:

The warranty covers plating that fails prematurely under normal use. It does not cover ordinary wear, physical damage, alteration or repair by anyone other than us, or exposure to swimming pools, sea water, perfume, cosmetics, cleaning agents or prolonged moisture. Care instructions are supplied with the goods and must be followed.
The warranty runs from the date of shipment and is given to you, our buyer. Any warranty you offer your own customers is a matter between you and them.
7. Inspection, Claims and Returns
Every order is inspected before shipment. Because these are wholesale shipments, please inspect the goods promptly on arrival.
- Shortages, wrong goods, or damage in transit: notify us in writing within 7 days of delivery, with photographs and your PI number.
- Latent defects: notify us as soon as they appear and in any event within the warranty period for the grade concerned.
- Where a claim is accepted we will, at our option, replace the goods, credit them against your next order, or refund them.
- Goods should not be returned without our written agreement. Where we ask for goods back, we will tell you where to send them and who pays the freight.
- We do not accept returns of goods that are simply unsold, or of custom and OEM/ODM production made to your specification, unless the goods are defective.
8. Custom and OEM/ODM Orders
Custom orders are produced to your written specification, which we will confirm before production. Once production has commenced the order cannot be cancelled or refunded except for defects or our failure to deliver. You warrant that any logo, design or artwork you supply is yours to use and does not infringe anyone else's rights, and you indemnify us against claims that it does.
9. Delivery and Risk
Delivery terms are stated on your PI. Risk in the goods passes to you when they are handed to the carrier. Title passes when we have received payment in full. Delivery dates are estimates; see our Shipment & Delivery Policy.
10. Intellectual Property
The TORENA name, logo, site content, product photography and written descriptions belong to us or our licensors. You may use our product photography and descriptions to resell the goods you have bought from us. You may not use them to advertise goods bought elsewhere, and you may not use our name or logo in a way that suggests a partnership or agency that does not exist.
11. Acceptable Use
You agree not to use the site to break the law, to interfere with its operation or security, to gain unauthorised access, or to harvest data by automated means without our permission.
12. Liability
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings, and our total liability arising out of or in connection with any order is limited to the amount you paid us for that order.
13. Force Majeure
We are not liable for failure or delay caused by events outside our reasonable control, including natural disaster, epidemic, war, civil unrest, strike, government or customs action, carrier failure, and interruption of power or telecommunications.
14. Termination
We may suspend or close an account that breaches these Terms. Termination does not affect orders already confirmed by PI and paid, or any provision that by its nature should survive.
15. Governing Law and Disputes
These Terms are governed by the laws of the People's Republic of China. We will try in good faith to resolve any dispute by discussion. If we cannot resolve it within 30 days, it shall be settled by arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with proceedings in English or Chinese, and the award shall be final and binding on both parties.
16. General
If any provision of these Terms is held unenforceable, the rest continues to apply. Our failure to enforce a provision is not a waiver of it. These Terms, together with your PI and the policies referred to in them, are the entire agreement between us for your order.
17. Changes
We may change these Terms. The version that applies to your order is the version in force when your PI is issued. Material changes are posted on this page with a new 'Last updated' date.
